These Terms of Service ("Terms") govern your access to and use of the Dioxide website and your purchase of Dioxide products, including preorder products.
By accessing or using the website or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the website or place an order.
"Dioxide," "we," "us," and "our" refer to Dioxide and the business operating the Dioxide website.
These Terms apply to all visitors, customers, and other users of the website.
You may use the website and purchase products only if you are legally capable of entering into a binding agreement under applicable law.
If you are under the age required to enter into a binding purchase agreement in your jurisdiction, you may use the website or make a purchase only with the involvement and permission of a parent or legal guardian.
By placing an order, you represent that the information you provide is accurate and complete.
We make reasonable efforts to accurately describe and display our products. However, certain characteristics may vary between the website and the physical product.
In particular:
We reserve the right to correct typographical, pricing, product-description, availability, or other errors on the website.
Nothing in this section permits us to materially misrepresent a product or its characteristics.
All prices are stated in U.S. dollars unless otherwise indicated.
Applicable taxes and shipping charges will be presented during checkout where applicable.
You authorize the payment method provided at checkout to be charged for the total amount shown at the time of purchase.
If a pricing or product-information error occurs, we may cancel an affected order before fulfillment. If you have already paid for an order that we cancel for this reason, we will refund the amount paid to the original payment method.
We may refuse or cancel an order where permitted by law, including where we reasonably suspect fraud, unauthorized use of a payment method, or other unlawful activity.
When you submit an order, you are requesting to purchase the selected products under these Terms.
An order confirmation acknowledges that we received your order. It does not necessarily mean that Dioxide has accepted the order if circumstances require cancellation or correction.
We may cancel an order where permitted by law, including when:
If we cancel an order after payment has been received, we will refund the amount paid to the original payment method, unless applicable law requires another method.
Some Dioxide products may be offered as preorders. A preorder is an order placed for a product that has not yet entered regular inventory or fulfillment.
Dioxide may condition production of a preorder product on reaching an internal minimum production quantity.
The production minimum is measured in individual units. Each qualifying unit purchased through the applicable preorder campaign counts toward the production minimum.
The specific production minimum is an internal business threshold and is not publicly disclosed. The production minimum may vary by product or preorder campaign.
For the applicable 2026 preorder campaign, the production minimum must be reached by October 1, 2026. Dioxide will not extend this preorder deadline.
If the production minimum is not reached by October 1, 2026, Dioxide will cancel the affected preorder orders and issue a full refund of amounts paid to the original payment method.
If the production minimum is reached by October 1, 2026, Dioxide will proceed with production.
The estimated shipping date for the applicable preorder is before November 5, 2026.
The stated shipping date is an estimate based on information reasonably available to Dioxide at the time the preorder is offered. It is not a guarantee of delivery on a particular date.
If circumstances arise that prevent Dioxide from shipping within the stated timeframe, Dioxide will provide any notices, options, cancellations, or refunds required by applicable law.
Preorders are final purchases. Customers may not cancel a preorder merely because they change their mind, no longer want the product, or otherwise decide not to proceed.
This restriction does not apply where a cancellation or refund is required by applicable law, including applicable requirements relating to shipping delays, defective or nonconforming merchandise, or other consumer rights that cannot legally be waived.
If Dioxide determines that it cannot reasonably fulfill a preorder, Dioxide may cancel the affected order and issue a full refund to the original payment method.
If applicable law provides a customer with a right to cancel or receive a refund, those rights remain unaffected by these Terms.
Customers are responsible for providing an accurate and complete shipping address.
Shipping and delivery estimates are estimates and may be affected by circumstances outside Dioxide's reasonable control.
Dioxide will comply with applicable laws governing advertised shipping times and delays. If Dioxide cannot ship an order within the applicable promised or legally required timeframe, Dioxide will provide the customer with any notice, cancellation option, consent request, or refund required by applicable law.
Once an order has been shipped, delivery is subject to the policies and procedures of the applicable carrier.
If a package is marked as delivered but cannot be located, customers should first contact the applicable carrier and may also contact Dioxide at info@dioxide.cc for assistance.
Dioxide is not responsible for delays caused solely by a carrier or other circumstance outside Dioxide's reasonable control, except to the extent otherwise required by law.
All sales are final except where Dioxide expressly provides otherwise or where a return, exchange, cancellation, refund, or other remedy is required by applicable law.
Dioxide does not generally accept returns or exchanges for changes of mind, incorrect sizing, or other reasons unrelated to a product defect, damage, incorrect shipment, or material discrepancy between the product purchased and the product received.
If you receive a product that is defective, damaged, incorrect, or materially different from what was described, contact info@dioxide.cc with your order information and a description of the issue.
We may request photographs or other information reasonably necessary to evaluate the issue.
After reviewing the issue, Dioxide may provide an appropriate resolution, which may include a replacement, refund, repair, or other remedy.
Nothing in these Terms excludes, restricts, or waives any warranty, remedy, or consumer protection that cannot legally be excluded, restricted, or waived.
The Dioxide name, trademarks, logos, product designs, graphics, photographs, videos, website design, written content, and other materials provided by Dioxide are owned by Dioxide or used with permission and are protected by applicable intellectual-property laws.
Except as expressly permitted by Dioxide, you may not reproduce, distribute, modify, publicly display, sell, license, or commercially exploit Dioxide's intellectual property without prior written permission.
Purchasing a Dioxide product does not transfer ownership of any Dioxide intellectual-property rights to you.
Dioxide may allow customers and other users to submit reviews, photographs, videos, comments, or other content ("User Content").
By submitting User Content, you represent that:
You retain ownership of User Content that you own.
By submitting User Content, you grant Dioxide a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and otherwise use the User Content for purposes including operating, promoting, advertising, and marketing Dioxide and its products.
This license may include use of User Content on the Dioxide website, social-media accounts, advertisements, email communications, and other promotional materials.
The license continues for as long as necessary for the permitted uses described above, subject to applicable law.
Dioxide may remove, decline to publish, or discontinue displaying User Content at its discretion.
You may not use the website to:
Dioxide may restrict or terminate access to the website for violations of these Terms or misuse of the website.
The website may use or link to third-party services, including payment processors, shipping providers, analytics services, social-media platforms, and other service providers.
Third-party services are governed by their own terms and policies. Dioxide does not control and is not responsible for the policies, practices, availability, security, or content of third-party services.
To the maximum extent permitted by applicable law, the website and its content are provided on an "as available" basis.
Dioxide does not guarantee that the website will always be available, uninterrupted, secure, or free from errors.
Dioxide does not guarantee that website information will always be complete, current, or error-free, although we make reasonable efforts to maintain accurate information.
Nothing in these Terms excludes or limits any warranty or legal protection that cannot lawfully be excluded or limited.
To the maximum extent permitted by applicable law, Dioxide and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the website or purchase of products.
To the maximum extent permitted by applicable law, Dioxide's total liability arising from a particular purchase will not exceed the amount you paid to Dioxide for the product giving rise to the claim.
These limitations do not apply to liability that cannot legally be excluded or limited.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Dioxide and its owners, employees, contractors, and service providers from claims, damages, losses, liabilities, and reasonable expenses arising from:
This section does not require you to indemnify Dioxide for claims caused by Dioxide's own unlawful conduct to the extent such an obligation cannot legally be imposed.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except to the extent applicable law provides otherwise.
Any dispute arising from or relating to these Terms, the website, or a purchase will be subject to the jurisdiction of courts that are legally permitted to hear the dispute.
Nothing in these Terms prevents a consumer from exercising a right or pursuing a remedy that cannot legally be waived.
Dioxide may update these Terms from time to time.
When we make changes, we will update the "Last Updated" date at the beginning of the Terms.
Changes will apply prospectively unless otherwise permitted by law. Your continued use of the website after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.
Dioxide may suspend or terminate your access to the website if you materially violate these Terms, engage in fraudulent or abusive activity, or otherwise misuse the website.
Provisions that by their nature should survive termination, including intellectual-property rights, User Content licenses, disclaimers, limitations of liability, indemnification, governing-law provisions, and provisions concerning outstanding obligations, will survive termination.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
Dioxide's failure to enforce a provision of these Terms does not waive our right to enforce that provision later.
These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and Dioxide concerning your use of the website and purchases made through the website.
You may not assign your rights or obligations under these Terms without Dioxide's prior written consent, except where otherwise permitted by law. Dioxide may assign its rights and obligations as permitted by law.
Dioxide will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, acts of government, labor disruptions, manufacturing problems, supply-chain disruptions, transportation disruptions, or similar events, subject to any rights and obligations imposed by applicable law.
